These Terms of Service (“Terms”) govern access to and use of the Handglove platform (“Platform”) operated by Handglove, Inc. (“Handglove,” “we,” “our”). By using the Platform, you agree to these Terms.
1. Platform Overview
Handglove provides a digital workforce platform connecting:
- Healthcare facilities
- Staffing vendors/agencies
- Clinicians
Handglove acts as a technology-enabled intermediary and not a direct employer (unless explicitly stated).
2. Eligibility
Users must:
- Be at least 18 years old
- Hold valid licenses/certifications where applicable
- Provide accurate and complete information
3. User Categories
- A. Facilities: Post shifts, set pay rates, approve or reject clinicians.
- B. Vendors: Supply clinicians, manage workforce, accept or decline assignments.
- C. Clinicians: Accept shifts, maintain credentials, comply with facility policies.
4. Maryland & Federal Compliance
Users agree to comply with:
- Maryland Wage Payment and Collection Law
- Maryland Healthy Working Families Act
- Fair Labor Standards Act (FLSA)
- Health Insurance Portability and Accountability Act (HIPAA)
5. No Employment Relationship
Handglove does not employ clinicians unless explicitly stated. No employer-employee relationship is created between Facility and Handglove. Worker classification is determined by applicable law.
6. Platform Use & Responsibilities
Users agree to:
- Provide accurate information
- Maintain professional conduct
- Comply with healthcare regulations
- Use the platform only for lawful purposes
7. Shift Fulfillment & Payments
Facilities pay only for completed and verified shifts. Rates are set by the facility. Payment terms follow contractual agreements (e.g., Net 30).
8. No Guarantee of Work or Coverage
Handglove does not guarantee:
- Continuous work for clinicians
- 100% shift fulfillment
Platform uses best-effort automation and matching.
9. Data Rights & Platform Ownership
9.1 Platform Ownership: Handglove owns platform infrastructure, algorithms, automation systems, and aggregated/anonymized data.
9.2 User Data Rights: Users retain ownership of their personal and operational data.
9.3 License to Handglove: Users grant Handglove a perpetual, irrevocable, royalty-free license to use anonymized and aggregated data for analytics, optimization, and product development.
10. Privacy
Use of the Platform is subject to the Handglove Privacy Policy.
11. Confidentiality
Users agree not to:
- Share confidential facility or platform information
- Misuse data obtained through the platform
12. Non-Circumvention
Users agree not to bypass the platform to directly engage clinicians or vendors introduced through Handglove for a period of 6 months, unless permitted.
13. Fees & Charges
Fees are defined in separate agreements or pricing schedules. Failure to pay may result in account suspension or legal action.
14. Account Suspension & Termination
Handglove may suspend or terminate access for:
- Breach of Terms
- Fraud or misuse
- Regulatory violations
15. Indemnification
Users agree to indemnify Handglove against claims arising from misconduct, regulatory violations, or breach of these Terms.
16. Limitation of Liability
To the maximum extent permitted by Maryland law:
- No liability for indirect or consequential damages
- Total liability limited to fees paid in last 3 months
17. Dispute Resolution
Good-faith negotiation required. If unresolved: Mediation → Binding arbitration in Maryland.
18. Third-Party Services
Platform may integrate with payment providers, background check services, and facility systems. Handglove is not responsible for third-party services.
19. Modifications
Handglove may update these Terms. Continued use constitutes acceptance.
20. Governing Law
These Terms are governed by the laws of the State of Maryland.
